A counter-offer is a reply to an offer that changes its terms or adds a condition. Section 7(1) of the Indian Contract Act, 1872 requires an acceptance to be absolute and unqualified. A qualified reply is therefore not an acceptance. It rejects the original offer and is itself a new offer.
Wrench offered to sell his farm for 1,000 pounds. Hyde replied that he would pay 950 pounds, and Wrench refused. Hyde then wrote that he agreed to 1,000 pounds. The Rolls Court held that the 950 pounds reply rejected the original offer, so no contract was formed.
As used in Hyde v. Wrench (Rolls Court), the leading case on how a reply with different terms ends the original offer.
Don't assume you can fall back on the original offer after a counter-offer. Once the original offer is rejected, it can be accepted again only if the offeror makes it afresh.
