As used in Percept D'Mark (India) Pvt. Ltd. v. Zaheer Khan, a right of first refusal is a clause that makes a person give another party written notice of a third-party offer and a chance to match it before he accepts the offer. Under clause 31(b) of the Promotion Agreement the agent had ten days to accept on the same terms, and if it did not, the cricketer could contract with the third party.
Percept D'Mark (India) Pvt. Ltd. v.
The Court said clause 31(b) may be valid during the term of the agreement. It held that, enforced after the term ended, it was prima facie void under Section 27 and could not be enforced by injunction.
