Law of Contract-I

As used in Kailash Nath Associates v. Delhi Development Authority, a penalty is a stipulation by which a contract names a sum or forfeiture on breach. Under Section 74 the court awards only reasonable compensation not exceeding the penalty stipulated. The Court said compensation needs damage or loss actually caused.

Kailash Nath Associates v.

Real-life example

DDA relied on the contract term for forfeiture of Rs 78 lakh. The Court held that keeping the sum with no breach and no loss would be arbitrary for a public authority.
