Goodwill —

Glossary
Law of Contract-I

Goodwill is what a buyer gets along with a business, so that the buyer can carry it on. Exception 1 to section 27 of the Indian Contract Act, 1872 allows a person who sells the good-will of a business to promise the buyer not to carry on a similar business within specified local limits. This holds only while the buyer carries on a like business there, and only if the limits appear reasonable to the Court.

Real-life example

In Madhub Chander v. Raj Coomar Doss, rival shopkeepers paid Madhub Chander to close his shop in a locality and not reopen it. The Calcutta High Court held the agreement void under section 27. The restraint was only partial, and the Court held that the section admits no exception except the sale of goodwill.

Madhub Chander v.
