Law of Contract-I

An e-contract is any contract that is formed, negotiated, or finalised through electronic means rather than on paper — this could be an exchange of emails, clicking "I Agree" on a website's terms, or completing a purchase through an app. Indian law treats these exactly the same as paper contracts once offer and acceptance are complete, with a dedicated statute removing any doubt on the point.

Real-life example

A mining company and a metal manufacturer negotiate the price, quantity, and delivery schedule for a bulk raw material order entirely through a chain of emails over two weeks, intending to sign a formal contract later that never actually gets finalised. Indian courts have held that once every essential term was agreed through that email exchange, a fully binding contract already existed — the missing signature on a later document doesn't undo it.

Common mix-up

A common student assumption is that e-contracts are somehow "weaker" or less enforceable than paper contracts, needing a signed printout to be truly binding. That's incorrect under Indian law — the electronic form itself is never a valid reason to treat a contract as unenforceable.
